1) About SOCAI

SOCAI (“we”, “our”, “us”) is an AI talent platform that enables you to create and manage an AI “digital twin” using your authorized likeness, voice, and style. These Terms (“Terms”) govern your access to and use of our website, apps, APIs, and related services (“Service”).

2) Eligibility & Accounts

• You must be at least the age of majority in your jurisdiction (or have verifiable guardian consent).
• You are responsible for account credentials and all activity under your account.
• Provide accurate information and keep it updated. We may suspend accounts for suspected fraud, abuse, or policy violations.

3) Permitted Use & Restrictions

You agree to use the Service lawfully and not to:

• Impersonate others or create an AI twin of a person without that person’s explicit, verifiable consent.
• Upload or generate illegal, infringing, defamatory, harassing, hateful, sexually explicit (where prohibited), or otherwise harmful content.
• Interfere with or disrupt the Service, bypass security, or reverse engineer components except as permitted by law.
• Use outputs to mislead the public (e.g., deceptive endorsements, undisclosed synthetic media) or violate platform/community guidelines elsewhere.

4) Likeness Rights & AI Twin

• You affirm you own or have the necessary rights to the likeness, voice, images, videos, and other materials you provide for training and deployment of your AI twin.
• You grant SOCAI a worldwide, non-exclusive, royalty-free license to use, process, host, reproduce, modify, and display such materials solely to operate, maintain, improve, and provide the Service (including training, fine-tuning, safety filtering, evaluation, and deployment of your AI twin).
• You may configure permissions (what your AI twin can say/do). You are responsible for these settings and the results of enabling them.
• You may revoke future use of your likeness by deleting content or your account; past uses and necessary backups/logs may persist for a limited time as required by law, security, and accounting.

5) User Content & License

“User Content” includes any data you upload, submit, or generate (text, audio, images, video, prompts, feedback). You retain ownership of your User Content. You grant SOCAI a worldwide, non-exclusive license to host, process, transmit, display, and create derivative works from User Content solely to provide and improve the Service. You represent that your User Content does not infringe any third-party rights and complies with applicable law.

6) AI Outputs & Accuracy

• AI outputs may be inaccurate, incomplete, or reflect unintended bias. You are responsible for reviewing and approving outputs before publishing or using them.
• Unless otherwise stated, we grant you rights to use and monetize outputs generated through your account, subject to these Terms and third-party rights (e.g., music, logos, or trademarks you include).
• Do not rely on the Service for medical, legal, financial, or other professional advice.

7) Payments, Fees & Payouts

• Some features require paid subscriptions or usage-based fees. Prices may change with notice.
• If you monetize your AI twin, payouts are subject to eligibility checks, payment processor terms, minimum thresholds, and applicable taxes. You are responsible for reporting and paying taxes.
• Revenue share (if applicable): Creator [X%] / SOCAI [Y%] after processor fees. Chargebacks, fraud, or policy violations may reduce or reverse payouts.
• Refunds: [State your refund policy or “All sales are final unless required by law.”]

8) Privacy & Data

Your use of the Service is governed by our Privacy Policy. If you connect Google or other platforms, you authorize the requested scopes solely to provide enabled features. We do not sell personal data.

9) Intellectual Property

• The Service, software, models, and documentation are owned by SOCAI and its licensors and are protected by IP laws.
• Except for rights expressly granted, no licenses are implied. You may not remove proprietary notices or use our marks without permission.

10) Takedowns (IP/DMCA)

If you believe content infringes your rights, send a notice to legal@socai.id with:

• Your contact info and a description of the work allegedly infringed.
• URL(s) or identifiers of the infringing material.
• A statement of good-faith belief and accuracy under penalty of perjury.
• Your signature (physical or electronic).

We may remove content, disable access, and notify the uploader. We may terminate repeat infringers’ accounts.

11) Suspension & Termination

• We may suspend or terminate accounts that violate these Terms, risk harm, or for non-payment.
• You may stop using the Service at any time and request account deletion.
• Upon termination, certain clauses survive (e.g., IP, payments due, disclaimers, liability limits, dispute terms).

12) Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted, error-free, or secure operation.

13) Limitation of Liability

To the maximum extent permitted by law, SOCAI and its affiliates are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenues, data, goodwill, or business interruption. Our total liability for any claim arising from or relating to the Service will not exceed the greater of (a) the amount you paid to SOCAI in the 3 months before the claim arose or (b) USD 100.

14) Governing Law & Disputes

These Terms are governed by the laws of the Republic of Indonesia, without regard to conflict-of-laws principles. You agree to the exclusive jurisdiction and venue of the courts located in Jakarta, Indonesia. (Optional: add arbitration clause, e.g., BANI rules.)

15) Changes to these Terms

We may update these Terms from time to time. Material changes will be notified via the Service or email. Continued use after changes become effective constitutes acceptance.
